Yandex will issue 6 million shares for the incentive program

Board of Directors of Yandex decided to increase the authorized capital by placing 6 million ordinary shares by private subscription in favor of ESOP SPV LLC, which acts as the operator of the employee incentive program. Final number of shares to be placed will be calculated based on the number of shares specified in the employees' applications for the exercise of options received in the period until April 30, 2025. Price of the securities placement has not been set yet.
